BULLBASE TERMS OF SERVICE

Please read these Terms of Service ("Terms") carefully before creating an account or using the BullBase platform and its associated functionalities ("Services"). By creating an account, checking the "I agree" box, or otherwise accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree to these Terms, you are strictly prohibited from creating an account, accessing the platform, or using the Services.

1. Description of Services & Data Disclaimer

BullBase provides a crowdsourced, community-driven database directory for livestock sire information, progeny reports, semen supply information, user reviews, and advertising.

"As-Is" Crowdsourced Data: All content, data records, pedigrees, and genetic trait labels are uploaded by independent users or aggregated from public domains.

No Verification: BullBase does not review, verify, validate, test, or audit any genetic lab reports, breed association registrations, or pedigree lineage files. We make no representations or warranties regarding the truth, accuracy, completeness, or reliability of any data hosted on the platform.

User Verification Mandatory: You explicitly acknowledge that you bear sole responsibility for independently verifying all pedigree data, ownership records, and genetic defect markers directly with official breed registries or DNA testing laboratories before making any financial, management, or breeding decisions.

User Content License: By submitting or uploading any pedigree data, animal profiles, carrier statuses, or progeny metrics to BullBase, you grant BullBase a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to host, store, display, reformat, reproduce, and distribute such content. This license remains in effect even if you terminate or delete your account, ensuring the integrity and continuity of the public livestock database.

Database Moderation & Record Locking: BullBase retains absolute discretion to lock, edit, merge, or remove any database entry, sire record, or pedigree record to resolve disputes, prevent vandalism, correct duplicates, or enforce alignment with official breed registry records.

Third-Party Trademarks and Links: All product names, logos, brands, breed registries, and commercial semen distribution names referenced on BullBase remain the property of their respective trademark holders. Reference to or linking out to these third parties is done strictly for identification, directory indexing, and informational purposes under nominative fair use. BullBase is an independent community directory and is not affiliated with, sponsored by, or endorsed by any breed association or commercial livestock genetics company.

Dynamic Profile Links: BullBase profiles and pedigree trees are dynamic and reliant on interconnected user-submitted records. You acknowledge that third-party modifications, name updates, or administrative corrections to a linked ancestor profile may automatically change how that ancestor is displayed across all connected progeny or relative profiles. BullBase is not responsible for downstream display changes or any perceived commercial impact resulting from updates made to independent ancestor records.

2. Absolute Disclaimer of Breeding & Biological Liability

To the maximum extent permitted by applicable law, BullBase, its owners, operators, developers, and affiliates shall have zero liability for any biological, economic, or physical outcomes relating to animal husbandry, veterinary practices, or reproductive choices. You assume 100% of the risk associated with your livestock operations, breeding decisions, and management practices.

BullBase specifically disclaims any and all liability for:

Breeding and Herd Management Decisions: Any financial, breeding, or management decisions made in reliance on data, labels, or sire metrics listed on the platform.

Biological Outcomes: The birth of progeny with undisclosed genetic defects, abnormalities, or carrier statuses; embryonic loss; or failures in reproductive efficiency.

Performance and Valuation Variance: Any lower-than-expected physical quality, phenotypical trait expression, competitive show performance, structural soundness, or commercial market valuation of resulting progeny.

Advanced Reproductive Procedures: Any outcomes, losses, or failures resulting from artificial insemination, embryo transfer, in vitro fertilization (IVF), or other advanced reproductive technologies utilized in connection with information found on the Services.

3. User-Generated Content, Reviews, & Defamation

Users may post reviews, performance ratings, and progeny data regarding specific bulls.

User Responsibility: You retain sole legal liability for any text, reviews, data, images, or media you post. You warrant and represent that all reviews, ratings, and performance metrics are truthful, accurate, and based entirely on your firsthand production or husbandry experience.

Prohibited Content: You agree not to post false, misleading, defamatory, libelous, or malicious statements regarding any animal, breeder, seedstock operation, agricultural business, or bull owner. You are strictly prohibited from uploading content that violates third-party intellectual property rights or privacy rights.

Section 230 Protection: You explicitly acknowledge that BullBase acts purely as a passive interactive computer service provider under 47 U.S.C. § 230. BullBase does not adopt, ratify, or endorse user reviews, and is not legally liable for any trade libel, defamation, product disparagement, or commercial disparagement posted by its users. We reserve the absolute right, but assume no legal obligation, to monitor, edit, or remove any user-generated content at any time, for any reason, without notice.

AI-Generated Summaries: BullBase utilizes automated artificial intelligence algorithms to synthesize user reviews into summary blocks ("AI Summaries"). These summaries are generated automatically, are for informational purposes only, and do not reflect the opinions, verifications, or endorsements of BullBase. BullBase makes no warranties regarding the accuracy, fairness, or consistency of AI-generated content.

4. Advertising Terms

If you buy advertising space through the self-serve portal, you agree to the following monetization rules:

No ROI Guarantees: BullBase tracks advertising metrics (such as impressions and clicks) using industry-standard analytical frameworks. We provide no warranty, representation, or guarantee regarding ad performance, visibility rates, placement priority, click-through rates (CTR), conversion values, or return on financial investment. All advertisement purchases are final and non-refundable.

Right of Refusal and Removal: BullBase reserves the absolute right to reject, pause, edit, or delete any paid advertisement creative or campaign that violates platform design standards, content guidelines, or community safety rules; contains misleading imagery or unsubstantiated data; or targets competitors maliciously. BullBase may exercise this right at any time without liability or refund obligation to the advertiser.

5. Indemnification

You agree to defend, indemnify, and hold harmless BullBase, its founders, owners, operators, developers, and affiliates from and against any and all third-party claims, damages, obligations, liabilities, losses, costs, or expenses (including reasonable attorneys' fees and court costs) arising out of or directly related to:

Breach of Agreement: Your breach or alleged violation of any provision of these Terms.

Inaccurate Uploads: Any false, fraudulent, unauthorized, or inaccurate data—including but not limited to pedigree lineages, progeny show wins, health tracking metrics, or genetic carrier statuses—that you upload, submit, or modify within the database.

User-Generated Content: Any defamatory, libelous, or commercially disparaging text, reviews, or media you post within the platform's review engine or community areas.

Third-Party Reliance: Any economic, physical, or biological damage suffered by a third party (such as buyers of semen, embryos, or live cattle) who reasonably or unreasonably relied on information you published, shared, or modified on BullBase.

6. Limitation of Liability

IN NO EVENT SHALL BULLBASE, ITS FOUNDERS, OR ITS AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF LIVE ANIMAL VALUATION, BREEDING STANDING REPUTATION, OR SELECTION FAILURE.

THE MAXIMUM AGGREGATE LIABILITY OF BULLBASE FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO BULLBASE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY US DOLLARS ($50.00), WHICHEVER IS GREATER.

7. Account Termination

BullBase reserves the absolute right to terminate, suspend, or restrict access to any user account, API access, or database record at any time, for any reason or no reason at all, without prior warning, notice, or liability to you.

Discretionary Action: This right includes, without limitation, the permanent deletion of uploaded data, active sire profiles, user profiles, and review histories.

Effect of Termination: Upon termination or suspension of your account by BullBase, your right to access or use the Services ceases immediately, and you shall not attempt to create a new account or circumvent the restriction under a different identity or credential.

8. Intellectual Property & DMCA Takedown Policy

BullBase respects the intellectual property rights of others. If you are a copyright owner (e.g., a professional livestock photographer) and believe that any content or photos hosted on the Services infringe upon your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Designated Copyright Agent with the following information in writing:

• A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
• Identification of the copyrighted work claimed to have been infringed, or a representative list of such works;
• Identification of the material that is claimed to be infringing and information reasonably sufficient to permit BullBase to locate the material (such as the specific URL of the sire profile);
• Your contact information, including an address, telephone number, and email address;
• A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
• A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner.

Repeat Infringers: In accordance with the DMCA and other applicable law, BullBase has adopted a policy of terminating, in appropriate circumstances and at BullBase's sole discretion, users who are deemed to be repeat infringers.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Michigan.
